FINAL NOTICE

ACTION

1.
For the reasons set out in this Final Notice, the Financial Services Authority (the
“FSA”) hereby takes the following action against Malcolm Green.

The FSA gave Malcolm Green a Decision Notice on 3 October 2012 (the “Decision
Notice”), which notified Malcolm Green that, for the reasons given below and
pursuant to section 56 of the Financial Services and Markets Act 2000 (the “Act”), the
FSA had decided to make an order prohibiting him from performing any function in
relation to any regulated activity carried on by any authorised person, exempt person
or exempt professional firm (the “Prohibition Order”).

Malcolm Green has not referred the matter to the Upper Tribunal (Tax and Chancery
Division) within 28 days of the date on which the Decision Notice was given to him.

Accordingly, for the reasons set out below, the FSA hereby makes an order pursuant
to section 56 of the Act prohibiting Malcolm Green from performing any function in
relation to any regulated activity carried on by any authorised person, exempt person
or exempt professional firm. The Prohibition Order takes effect from 9 November
2012.


REASONS FOR THE ORDER

The FSA has concluded, on the basis of the facts and matters and conclusions
described in the Warning Notice issued to Malcolm Green on 20 August 2012, and in
the Decision Notice, that Malcolm Green is not a fit and proper person to perform any
functions as his conduct demonstrates a lack of honesty and integrity. Specifically, on
30 January 2012, Malcolm Green was convicted of 20 counts of obtaining a money
transfer by deception, 19 counts of fraud by abuse of position and 3 counts of false
accounting, for which he was sentenced on 24 February 2012 to 5 years and 6 months
imprisonment.

DECISION MAKER

The decision which gave rise to the obligation to give this Final Notice was made by
the Regulatory Decisions Committee.

This Final Notice is given to Malcolm Green in accordance with section 390(1) of the
Act.

PUBLICITY

8.
Sections 391(4), 391(6) and 391(7) of the Act apply to the publication of information
about the matter to which this Final Notice relates. Under those provisions, the FSA
must publish such information about the matter to which this Final Notice relates as
the FSA considers appropriate. The information may be published in such manner as
the FSA considers appropriate. However, the FSA may not publish information if
such publication would, in the opinion of the FSA, be unfair to Malcolm Green or
prejudicial to the interests of consumers.

The FSA intends to publish this Final Notice and such information about the matter to
which this Final Notice relates as it considers appropriate.
