PDHL Limited ("the Firm'/) hereby applies for a requirement to be imposed upon it,
pursuant to section 55L(5)(a) of the Financial Services and Markets Action 2000
("FSMA") as set out at paragraph 2 in the Schedule below.

SCHEDULE

1. This Schedule sets out the terms of the requirements to be imposed on the Firm,
pursuant to sections 55L and 55N of FSMA, with effect from the date of a written notice
given by the Authority which grants the Firm/s application for a requirement.

Requirement

2. The requirements are that:

a. With immediate effect from the acceptance of this application, the Firm will not
enter into any new contractual arrangements with customers that involve the
carrying on of regulated debt adjusting or debt counselling activities for which it
has interim permission from the Authority, this includes debt adjusting or debt
counselling activities carried on by the Firm, as well as activities that may be
carried on by any of its appointed representatives or other agents of the Firm.
b. Within 5 working days of from acceptance of this application, the Firm agrees to
place a notice on its website in a form approved by the Authority prior to the
placing of such notice, that the Firm is no longer undertaking new business that
involves the carrying on of regulated debt adjusting or debt counselling activities
for which it has interim permissions from the Authority.
