FINAL NOTICE

ACTION

1.
For the reasons set out in this Final Notice, the Financial Services Authority (the
“FSA”) hereby takes the following action against Tony Sidney Sanham (“Tony
Sanham”).

The FSA gave Tony Sanham a Decision Notice on 13 December 2012 (the “Decision
Notice”), which notified Tony Sanham that, for the reasons given below and pursuant
to section 56 of the Financial Services and Markets Act 2000 (the “Act”), the FSA
had decided to make an order prohibiting him from performing any function in
relation to any regulated activity carried on by any authorised person, exempt person
or exempt professional firm (the “Prohibition Order”).

Tony Sanham has not referred the matter to the Upper Tribunal (Tax and Chancery
Division) within 28 days of the date on which the Decision Notice was given to him.

Accordingly, for the reasons set out below, the FSA hereby makes an order pursuant
to section 56 of the Act prohibiting Tony Sanham from performing any function in
relation to any regulated activity carried on by any authorised person, exempt person
or exempt professional firm. The Prohibition Order takes effect from 28 January
2013.

REASONS FOR THE ORDER

The FSA has concluded, on the basis of the facts and matters and conclusions
described in the Warning Notice issued to Tony Sanham on 2 November 2012, and in
the Decision Notice, that Tony Sanham is not a fit and proper person to perform any
functions as his conduct demonstrates a lack of honesty and integrity. Specifically, on
13 October 2011, Tony Sanham was convicted of one count of conspiracy to defraud,
contrary to common law, and one count of dishonestly making false representation to
make gain for himself or cause loss to another or expose another to risk, contrary to
section 2 of the Fraud Act 2006, for which he was sentenced on 13 October 2011 to 4
years and 6 months imprisonment.

DECISION MAKER

The decision which gave rise to the obligation to give this Final Notice was made by
the Regulatory Decisions Committee.

This Final Notice is given to Tony Sanham in accordance with section 390(1) of the
Act.

PUBLICITY

8.
Sections 391(4), 391(6) and 391(7) of the Act apply to the publication of information
about the matter to which this Final Notice relates. Under those provisions, the FSA
must publish such information about the matter to which this Final Notice relates as
the FSA considers appropriate. The information may be published in such manner as
the FSA considers appropriate. However, the FSA may not publish information if
such publication would, in the opinion of the FSA, be unfair to Tony Sanham or
prejudicial to the interests of consumers.

The FSA intends to publish this Final Notice and such information about the matter to
which this Final Notice relates as it considers appropriate.
